Important notice: payments platform disclosure

ezPayments is a financial technology payments platform, not a delivery, logistics, or marketplace service. ezPayments does not transport goods, provide delivery services, or employ drivers.

ezPayments is not a bank. Banking and custodial services are provided by regulated partner financial institutions. Card payment processing and marketplace payouts are provided through Stripe, Inc. and Stripe Connect, or equivalent licensed payment processors. Certain payout services may involve digital assets (stablecoins), subject to eligibility, jurisdictional restrictions, and enhanced compliance controls.

By accessing or using the ezPayments platform, you agree to these Terms of Use and the Privacy Policy.

1. Use of service

You represent and warrant that:

  • You are at least eighteen (18) years old and legally capable of entering into binding contracts;
  • You will use the ezPayments platform solely for lawful payment, payout, and financial operations;
  • You will comply with all applicable laws, including U.S. federal and state laws governing payments, money transmission, AML/KYC, sanctions (OFAC), tax reporting, and data protection.

You may not use the platform for fraud, money laundering, terrorist financing, sanctions evasion, or any prohibited or high-risk activity.

2. Account registration, KYC and AML compliance

To access payment or payout functionality, you must successfully complete identity and/or business verification.

ezPayments, Stripe, and their compliance partners may collect and verify:

  • Government-issued identification;
  • Business formation and ownership information (for merchants);
  • Bank account or wallet details;
  • Ongoing transaction monitoring and sanctions screening.

You authorize ezPayments and its partners to perform KYC, KYB, AML, sanctions screening, and fraud monitoring as required by law.

Failure to complete or maintain verification may result in account suspension, payout delays, or termination.

3. Payment processing and Stripe Connect

3.1 Payment acceptance

ezPayments enables merchants and platforms to accept payments from customers via supported payment methods, including credit cards, ACH, RTP/FedNow (where available), and other methods enabled by Stripe.

All card payments are processed by Stripe in accordance with PCI-DSS requirements.

3.2 Settlement and payouts

Customer payments are first received by Stripe or partner financial institutions. Funds are settled and made available for payout subject to:

  • Verification status;
  • Fraud, dispute, or compliance reviews;
  • Stripe settlement timelines.

Payout timing is not guaranteed and may be delayed for regulatory or risk reasons.

4. Stablecoin and digital asset payouts

Stablecoin payouts, where enabled, are subject to the following conditions:

  • Stablecoin payouts are permitted only for verified individuals (natural persons), not merchants or business entities;
  • Availability depends on jurisdiction, regulatory permissions, and risk assessment;
  • Stablecoin payouts may require enhanced identity verification and wallet ownership validation;
  • ezPayments does not provide investment advice or guarantee stablecoin value.

Stablecoin services may be modified, restricted, or discontinued at any time due to regulatory changes.

5. Fees, refunds and chargebacks

5.1 Fees

Applicable platform, processing, and payout fees are disclosed:

  • During onboarding;
  • In your dashboard; or
  • In a separate commercial agreement.

Fees may include Stripe processing fees, payout fees, FX fees, and chargeback fees.

5.2 Refunds, disputes and chargebacks

Merchants are solely responsible for handling customer refunds, customer complaints, fulfillment obligations, and customer service matters relating to products and services sold through the ezPayments platform.

Chargebacks, disputes, reversals, ACH returns, payment recalls, card network claims, or other transaction-related claims may result in:

  • Immediate debits from Merchant balances;
  • Negative account balances;
  • Reserve requirements;
  • Delayed settlements;
  • Account holds;
  • Suspension of withdrawal privileges; and/or
  • Other risk mitigation measures deemed necessary by ezPayments.

By using the Services, Merchant expressly authorizes ezPayments, Stripe, and their respective banking partners, payment processors, and service providers to recover disputed amounts, chargebacks, reversals, refunds, penalties, fines, assessments, and associated fees from Merchant balances, reserves, future settlements, linked payment methods, linked bank accounts, or other amounts payable to Merchant.

5.3 Reserve and recovery policy

Merchants are liable for all chargebacks, disputes, reversals, refunds, ACH returns, penalties, fines, network assessments, collection costs, legal fees, and associated expenses arising from or relating to transactions processed through the ezPayments platform.

ezPayments reserves the right to debit Merchant balances, offset future settlements, create negative balances, establish reserves, suspend withdrawals, suspend account functionality, or pursue collection activities and legal remedies to recover amounts owed.

Dispute fees, chargeback fees, and card network assessment fees are non-refundable.

If a Merchant elects to challenge a dispute and the dispute is ultimately resolved in the Merchant's favor, ezPayments may refund the applicable counter-dispute filing fee, if charged. However, the original dispute or chargeback fee assessed by the card network, issuing bank, acquiring institution, or payment processor is generally non-refundable regardless of the outcome of the dispute.

Merchant remains liable for all chargebacks, disputes, reversals, refunds, ACH returns, penalties, fines, assessments, fees, collection costs, and other amounts owed to ezPayments, its banking partners, payment processors, or service providers, even after account closure, termination, suspension, withdrawal of funds, cessation of business activities, or discontinuation of use of the Services.

In the event ezPayments undertakes collection efforts or initiates legal proceedings to recover amounts owed by Merchant, Merchant agrees to reimburse ezPayments for all costs of recovery, including but not limited to collection agency fees, court costs, arbitration costs, expert fees, investigation costs, and reasonable attorneys' fees.

Where permitted by applicable law, Merchant agrees that collection fees of up to thirty-five percent (35%) of the outstanding balance may be added to amounts due if the account is referred to a third-party collection agency, attorney, or other recovery service. Such collection fees shall be in addition to the original amount owed, dispute fees, chargeback fees, penalties, interest, court costs, and attorneys' fees.

ezPayments reserves all rights and remedies available under law and equity to recover amounts owed, including the right to offset future settlements, debit authorized payment methods or bank accounts, report delinquencies to credit or business reporting agencies where permitted by law, pursue arbitration, commence litigation, obtain judgments, and enforce judgments against Merchant.

5.4 ACH debit authorization and recovery rights

By maintaining an account with ezPayments and linking a payment method or bank account, you authorize ezPayments to recover any amounts owed to ezPayments, including chargebacks, disputes, reversals, refunds, penalties, fees, and negative balances, by debiting your linked payment method, bank account, wallet balance, future settlements, reserve balance, or other amounts payable to you.

Every user must maintain at least one valid payment account, debit card, bank account, or other approved funding source on file as a condition of maintaining an active ezPayments account.

ezPayments may place holds, establish reserves, delay settlements, suspend withdrawals, or recover funds where ezPayments reasonably believes a transaction may result in a dispute, chargeback, reversal, fraud claim, compliance concern, or financial loss.

ezPayments reserves the right, in its sole discretion, to require reserve balances, delayed settlements, enhanced monitoring, additional underwriting review, supplemental documentation, or other risk mitigation measures for accounts that present elevated risk.

High-risk accounts may include, but are not limited to:

  • Digital goods or digital content merchants
  • Merchants conducting sales through Discord, Telegram, or similar platforms
  • Merchants operating multiple accounts or related accounts
  • High-ticket transaction merchants
  • Merchants with a history of chargebacks, disputes, refunds, or excessive customer complaints
  • Accounts with mismatched country, identity, business, banking, or account holder information
  • Merchants engaged in cross-border transactions or other activities deemed higher risk by ezPayments
  • Businesses operating in industries subject to increased fraud, regulatory, compliance, intellectual property, or financial risk

ezPayments may establish reserve requirements, temporarily delay withdrawals or settlements, request additional documentation, conduct enhanced due diligence reviews, suspend account functionality, or take other actions reasonably necessary to protect ezPayments, its banking partners, payment processors, customers, and merchants from actual or potential losses, disputes, chargebacks, fraud, regulatory exposure, or compliance concerns.

Reserve amounts, hold periods, and review requirements may be modified at any time based on account activity, transaction volume, dispute history, risk assessments, or other factors determined by ezPayments.

5.5 Collection costs and attorney's fees

(a) General obligation. In the event User defaults on any payment obligation, maintains a negative balance, or otherwise breaches this Agreement resulting in an outstanding balance owed to Platform, User agrees to pay all costs of collection incurred by Platform. These costs include, without limitation, reasonable administrative fees, collection agency fees, court costs, and reasonable attorney's fees.

(b) Commercial accounts (B2B). If the User is a business entity, sole proprietorship, or utilizing the platform for commercial purposes, User agrees that "reasonable attorney's fees" shall be defined and calculated as the actual fees incurred or thirty-five percent (35%) of the total outstanding balance sought to be collected, whichever is less.

(c) Consumer accounts (B2C). If the User is an individual utilizing the platform for personal, family, or household purposes, User agrees to pay reasonable attorney's fees incurred by Platform. Notwithstanding the terms of subsection (b), the recovery of attorney's fees for consumer accounts shall be capped at thirty-five percent (35%) of the outstanding debt or the maximum percentage permitted under the applicable consumer protection laws of the User's jurisdiction, whichever is less.

(d) Severability. If any sub-clause within this Section is deemed unconscionable, void, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the unenforceable portion shall be modified to the minimum extent necessary to comply with applicable local law.

6. Data security and PCI compliance

ezPayments uses industry-standard administrative, technical, and physical safeguards.

  • Cardholder data is processed exclusively by PCI-DSS compliant providers (including Stripe);
  • ezPayments does not store full card numbers;
  • Users may not store, transmit, or process card data outside approved systems.

7. Prohibited uses

You may not use ezPayments for:

  • Illegal goods or services;
  • Gambling, adult content, or restricted industries without written approval;
  • Sanctioned countries, individuals, or entities;
  • Cryptocurrency mixing, tumbling, or anonymity-enhancing services;
  • Any activity intended to evade financial regulation.

8. Suspension and termination

We may immediately suspend or terminate access without notice for:

  • Regulatory or compliance risk;
  • Suspected fraud or illegal activity;
  • Breach of these Terms or Stripe policies.

Outstanding obligations survive termination.

9. Disclaimers and limitation of liability

Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, ezPayments disclaims all implied warranties and limits liability for indirect, incidental, or consequential damages.

10. Governing law

These Terms are governed by the laws of the State of New York, United States.
